🚫 4. Avoid Binding Agreements Pre-STAK

Until our Dutch STAK is formed:

“All rights remain with the original creator and will be assigned to a Dutch IP holding foundation (STAK) currently in formation.”

✅ 1. Presentation Access & Confidentiality Agreement (PACA)

2. CONFIDENTIAL INFORMATION  
“Confidential Information” includes, without limitation: screenplays, pitch decks, visual presentations, look-books, video materials, financial models, casting strategies, verbal discussions, and any intellectual property (IP) disclosed by the Disclosing Party. All such materials are the exclusive property of the Disclosing Party.

3. USE & NON-DISCLOSURE  
The Receiving Party agrees to hold all Confidential Information in strict confidence, to use it solely for internal evaluation of the Project, and not to disclose, copy, distribute, or exploit it without prior written consent from the Disclosing Party.

4. NO LICENSE OR OBLIGATION  
This Agreement does not grant any license, option, or assignment of rights. It does not constitute an offer, joint venture, or obligation to proceed with any business transaction.

5. NON-CIRCUMVENTION  
The Receiving Party agrees not to bypass, circumvent, or exploit any contacts, strategies, or proprietary methods disclosed, including but not limited to third-party relationships presented during the course of discussions.

6. TERM & SURVIVAL  
This Agreement shall remain in effect for two (2) years from the Effective Date. Obligations of confidentiality and ownership shall survive termination.

7. GOVERNING LAW  
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles.
